Due diligence

The duty of a firm’s directors and officers to act prudently in evaluating associated risks in all transactions.  Also, the duty of the investor to gather necessary information on actual or potential risks involved in an investment.

DBA

Doing Business As-US equivalent of ‘trading as’ (T/A), it indicates that the owners of a firm want neither to incorporate it nor to do business under their own names, but to operate under a fictitious (or assumed) name.

Cooperative agreement

An agreement between parties to cooperatively work together on an agreed upon project or meet or meet an agreed upon objective; to have a written understanding of the agreement between parties.

Conflict of interest

Situation that has the potential to undermine the impartiality of a person because of the possibility of a clash between the person’s self-interest and professional-interest or public-interest.
