Regulation A+ is a securities law and is the amendment to Regulation A. The A+ amendment enables businesses to offer and sell up to $50 million worth of securities in a 12 month period to accredited and non-accredited investors.
There are Two Tiers of companies:
Tier 1 Businesses can offer and sell up to $20 million of equity in a 12 month period.
Tier 2 Businesses can offer and sell up to $50 million of equity in a 12 month period.
Both tiers are required to comply with basic disclosure rules.
Note: Tier 2 businesses no longer have the requirement to register their securities in each state in which they sell them. However, Tier 2 companies are still required to have audited financial statements and are required to provide regular reports to investors.
